These Terms of Service ("Terms") govern your use of the services provided by Ephyra, LLC ("Ephyra," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.
1. Services
Ephyra provides custom software development, workflow automation, system integration, and related consulting services. Access to our software platforms is provided on a per-client basis under separate service agreements.
2. Accounts
If you are provided an account to access our platforms, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use.
3. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose
- Attempt to gain unauthorized access to any part of our systems
- Interfere with or disrupt the integrity or performance of our services
- Reverse-engineer, decompile, or disassemble any software we provide
- Use automated tools to scrape, crawl, or extract data from our platforms without permission
4. Intellectual Property
Unless otherwise specified in a separate written agreement, Ephyra retains ownership of all code, designs, and materials created during an engagement until full payment is received. Upon full payment, ownership of custom-built deliverables transfers to the client as outlined in the applicable project agreement.
The Ephyra name, logo, and branding remain the property of Ephyra, LLC at all times.
5. Payment
Payment terms are defined in individual project agreements and invoices. All fees are non-refundable unless otherwise stated in writing. Late payments may result in suspension of services.
6. Data and Privacy
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
7. Limitation of Liability
To the maximum extent permitted by law, Ephyra shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the amount you paid to Ephyra in the twelve months preceding the claim.
8. Disclaimer of Warranties
Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the reliability, availability, or fitness for a particular purpose of our services.
9. Termination
Either party may terminate the use of our platform services with written notice. We reserve the right to suspend or terminate access to our services immediately if you violate these Terms. Termination of specific project engagements is governed by the applicable project agreement.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Orleans Parish, Louisiana.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Continued use of our services after changes constitutes acceptance of the revised Terms.
